Terms of service
What a brokerage gets, what it owes, and what Meridian is careful not to claim to be.

The agreement
These terms govern a brokerage's use of Meridian. By creating an account or signing in, the brokerage and each of its users agrees to them.
Where a brokerage has signed a separate written agreement with us, that agreement governs wherever the two conflict.
What Meridian is, and is not
Meridian is a workspace for running a brokerage. It records clients, policies, opportunities, documents and commission, and it prioritises the work in front of a broker.
It is not an FSP, it is not a policy administration system, and it does not give financial advice. Advice given to a client remains the brokerage's advice and the brokerage's responsibility, including its suitability and its record.
It is not a compliance product. It keeps the evidence your obligations require. It does not discharge those obligations and no software can.
Your data stays yours
A brokerage owns its client records, its documents and its book. We do not claim any right in them beyond what is needed to run the service.
A brokerage can export its data in a usable format at any time, without a support ticket and without a retention conversation.
Accounts and access
Each person signs in with their own account. Sharing an account defeats the audit trail, which is the part a brokerage most needs when something is questioned later.
The brokerage is responsible for who it grants access to and for removing access when someone leaves.
Billing
Meridian is billed per broker per month in South African Rand, excluding VAT, on the plan the brokerage selects. Annual plans are charged for ten months of the twelve.
Monthly plans run month to month and can be cancelled with effect from the end of the paid period. We will always tell a brokerage before a price change takes effect.
Availability
We work to keep Meridian available and we do not promise it will never be unavailable. Planned maintenance is announced in advance. We do not currently publish a contractual uptime commitment, and we would rather say that plainly than publish one we have no history to support.
Liability
Nothing here limits liability that cannot lawfully be limited. Beyond that, our liability for any claim is limited to the fees the brokerage paid us in the twelve months before the claim arose.
We are not liable for a placement decision, an advice record or a lapsed policy. Those are the brokerage's, and the software exists to help rather than to decide.
Ending it
A brokerage can stop at any time. We can end an account for non payment or for use that puts other customers or their clients at risk, and we will say which and give a chance to fix it where fixing it is possible.
On termination the brokerage can export its data. We then delete it, keeping only what a legal obligation requires us to keep.
Governing law
South African law governs these terms, and the South African courts have jurisdiction.
